1. Agreement to these Terms

These Terms of Service ("Terms") govern your use of [Company Legal Name] ("Company," "we," "us") website at [www.yourdomain.com] (the "Site") and every quote, order, and purchase made through it. By browsing the Site, creating an account, requesting a quote, or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

We may update these Terms at any time by posting a revised version with a new "Last updated" date. Changes apply to orders placed after they are posted; the Terms in effect when you placed an order govern that order.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Site. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at [support email] if you suspect unauthorized use.

We offer two types of customers:

  • Retail customers buy appliances for personal, family, or household use.
  • Trade customers (dealers, contractors, builders, property managers, and other businesses) buy for resale, installation, or business use. Trade accounts require approval, may need a valid California seller's permit or resale certificate, and may be subject to a separate credit application or trade agreement. If a signed trade agreement conflicts with these Terms, the trade agreement controls.

We may refuse, suspend, or close any account at our discretion, including for suspected fraud or misuse of trade pricing.

3. Products and product information

We distribute appliances made by third-party manufacturers. We try to describe products, dimensions, specifications, energy ratings, and images accurately, but this information often comes from manufacturers and may contain errors or change without notice. Colors and finishes may look different on your screen.

Before ordering, confirm cut-out dimensions, door clearances, electrical, gas, water, and venting requirements for your space. We are not responsible for products that do not fit or cannot be connected because of site conditions.

Some products are offered as open-box, display, scratch-and-dent, or refurbished. These are labeled on the Site, may show cosmetic wear, and may carry a shorter or no manufacturer warranty.

4. Prices, quotes, and availability

All prices are in U.S. dollars. Prices, promotions, and availability can change at any time and are not guaranteed until we confirm your order. Trade pricing is available only to approved trade accounts and may not be shared or used for retail resale outside the account terms.

Quotes requested through the Site are valid for [30] days unless the quote says otherwise, and remain subject to stock availability and manufacturer price changes. A quote is an offer to sell only after we confirm it in writing.

If a product is listed at an incorrect price because of a typographical or system error, we may cancel the order and refund any amount paid, even after confirmation, or offer you the item at the correct price.

5. Orders and acceptance

Your order is an offer to buy. An order confirmation email means we received your order, not that we accepted it. We accept your order when we ship it, schedule delivery, or send a written acceptance. We may limit quantities, decline, or cancel any order, including for suspected fraud, resale abuse, or stock shortages; if we cancel, we refund what you paid.

Backordered items will be shipped when available. We will tell you the estimated date and you may cancel a backordered item before it ships for a full refund.

6. Payment and taxes

We accept [Visa, Mastercard, American Express, Discover, ACH, and approved trade credit]. You authorize us to charge your payment method for the order total, including taxes, delivery, installation, haul-away, and other listed fees.

We collect California sales tax and any other applicable taxes unless you give us a valid resale or exemption certificate before the order ships. Trade customers on approved credit terms must pay invoices by the due date (for example, Net [30]). Late balances may accrue interest at [1.5]% per month or the maximum rate allowed by law, whichever is lower, plus reasonable collection costs.

7. Delivery and pickup

We deliver to addresses within our service area [list regions or ZIP codes] and offer will-call pickup at [warehouse address]. Delivery dates and windows are estimates; we are not liable for delays caused by carriers, manufacturers, weather, or other events outside our control.

Someone 18 or older must be present at delivery. You are responsible for clear, safe access to the installation location, including measuring doorways, hallways, stairs, and elevators. If delivery cannot be completed because of access problems or no one being home, a redelivery fee of [$__] may apply.

Trade orders may ship freight or to a job site. Job-site deliveries are curbside or dock-to-dock unless otherwise agreed in writing.

8. Inspection and damage claims

Inspect every item at delivery or pickup before signing. Note any visible damage on the delivery receipt and photograph it. Report concealed damage (damage not visible until unboxing) within [48 hours] of delivery to [support email/phone]. Claims reported later may be denied by the carrier or manufacturer, though this does not limit any rights you have under California law.

9. Title and risk of loss

Title and risk of loss pass to you when the product is delivered to your address, handed to you or your carrier at pickup, or, for freight shipments, delivered to the carrier, as stated on your order. For trade customers on credit terms, we keep a security interest in the products until paid in full.

10. Installation, haul-away, and third-party services

Installation, hookup, and haul-away of old appliances are offered only where listed and only for an added fee. Installers may be our employees or independent licensed contractors. Basic installation covers connecting to existing, code-compliant utility hookups; it does not include electrical, plumbing, gas line, carpentry, cabinetry, or venting modifications, permits, or parts not listed.

Installers may refuse to install if site conditions are unsafe or not up to code. Old appliances accepted for haul-away are recycled or disposed of in line with California rules for refrigerants and appliance disposal, and become our property once removed.

11. Cancellations

You may cancel an order at no charge before it ships or is loaded for delivery. After that, the order is treated as a return under Section 12. Special-order, custom-panel, and made-to-order items cannot be cancelled once ordered from the manufacturer, and deposits on them are non-refundable.

12. Returns and refunds

We accept returns of eligible items as shown below. Items must be unused, uninstalled, in original packaging, with all parts, manuals, and accessories.

To start a return, contact [support email/phone] for a Return Authorization (RA) number. Returns without an RA will be refused. You pay return shipping or pickup fees unless the return is due to our error or damage in transit. Approved refunds are issued to the original payment method within [10] business days after we receive and inspect the item. Original delivery, installation, and haul-away fees are not refundable.

Items delivered damaged or defective, or the wrong item, will be repaired, replaced, or refunded at no charge if reported within the time in Section 8. Trade customers' returns are also subject to any return terms in their trade agreement.

13. Warranties

New products come with the manufacturer's warranty only. Warranty service, parts, and claims are handled by the manufacturer under its terms; we will help you contact the manufacturer when we can. Extended service plans, if offered, are provided by a third party under that provider's terms.

Except for the manufacturer's warranty and any rights you have by law, and to the fullest extent permitted by law, products and the Site are provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. For retail customers, nothing in these Terms limits any implied warranty or right you have under California's Song-Beverly Consumer Warranty Act, the federal Magnuson-Moss Warranty Act, or other consumer protection laws that cannot be waived.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business, food spoilage, or property damage caused by product failure or installation by others. Our total liability for any claim arising from a product or order will not exceed the amount you paid for that product or order.

Some states do not allow these exclusions or limits, so they may not apply to you. Nothing here limits liability for our gross negligence, willful misconduct, fraud, or personal injury or death caused by our negligence.

15. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or, for trade customers, your resale, installation, or use of products for your customers.

16. Acceptable use of the Site

You agree not to: use the Site for any unlawful purpose; scrape, copy, or harvest prices or content with automated tools; interfere with the Site's security or operation; submit false information or fraudulent orders; or impersonate any person or business.

17. Intellectual property

The Site and its content, including text, graphics, logos, and software, belong to us or our licensors and are protected by law. Manufacturer names, logos, and product images are trademarks of their owners and are used for identification only. You may view and print pages for your own shopping; any other use requires our written permission.

18. Privacy

Our Privacy Policy explains how we collect, use, and share personal information, including your rights under the California Consumer Privacy Act (CCPA/CPRA). By using the Site, you acknowledge it.

19. California notices

  • Proposition 65: Some products may expose you to chemicals known to the State of California to cause cancer or reproductive harm. See product pages or www.P65Warnings.ca.gov.
  • Consumer complaints: Under California Civil Code §1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services, California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210.

20. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at [support email] and try to resolve it informally for at least 30 days.

If not resolved, any dispute will be decided in the state or federal courts located in [County], California, and both parties consent to that jurisdiction. Either party may bring an individual claim in small claims court if it qualifies. 

21. General terms

These Terms, together with your order confirmation, any written quote, and any signed trade agreement, are the entire agreement between you and us about the Site and your purchases. If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We are not liable for delays caused by events beyond our reasonable control, such as natural disasters, supply shortages, or carrier disruptions.
